Gamma Communications has agreed to a £1.015 billion cash acquisition by Epiris. The deal would take the UK business communications provider private.
The offer comes through Bradbury Bidco Limited, a newly formed company backed by Epiris-managed funds. It covers all issued and future ordinary shares in Gamma.
Under the proposal, Gamma’s equity is valued at about £1.015 billion. Its enterprise value stands at around £1.079 billion. The transaction should proceed through a Court-sanctioned scheme of arrangement.
For telecom observers, the deal reflects a wider market shift. Private capital continues to target resilient communications platforms. These firms often serve business customers with voice, connectivity, cloud, and collaboration tools.
Gamma has built a strong base across the UK and Germany. It also continues to expand across Europe. Its customer mix includes small businesses, larger enterprises, and channel partners.
Epiris believes Gamma can grow faster outside public markets. It points to new products, innovation, and AI as key investment areas. Private ownership may allow quicker decisions and longer investment cycles.
However, shareholders will weigh certainty against future upside. A cash offer gives immediate value. Yet Gamma’s long-term growth may attract investors who see greater potential ahead.
Commenting on the deal, Gamma chair Martin Hellawell said: “Gamma has built a leading position in European business communications through sustained investment in its products, technology, people and customer relationships.
“The board remains confident in the company’s strategy and long-term prospects. The Board has nevertheless concluded that the Acquisition provides Gamma Shareholders with attractive and certain value in cash. Having considered the terms of the acquisition carefully, the board intends unanimously to recommend it to Gamma Shareholders.”
Epiris partner Ian Wood also backed the transaction. He said: “Gamma is a complex and highly resilient business, with strong market positions in the UK and Germany and a growing presence across Europe. Epiris has followed the company, and the wider telecoms sector, closely for a number of years, and we are excited to work with Gamma’s management team to continue its growth as a private company.
“We believe that the acquisition represents a compelling and deliverable offer which provides Gamma Shareholders with certainty of value. We are delighted to have the support of HarbourVest and Limewood Capital as co-investors in this transaction.”
The backing of HarbourVest and Limewood Capital adds further financial weight. It may also support future acquisitions or platform expansion.
For the communications sector, the proposed deal carries strategic importance. Business communications providers face rising demand for integrated digital services. Customers want simpler tools, better automation, and reliable support.
If completed, the acquisition could give Gamma more freedom to invest. It may also increase competition across European business communications. For engineers and IT buyers, product direction will matter most. The next phase should show whether private ownership accelerates innovation.
